If you are a corporation, what happens if you don’t take monthly board meeting minutes?
Your corporate veil will be protected as long as you have a yearly meeting. Failure to file corporate formalities that include more then meetings could make a shareholder personally liable. Monthly meetings, though are not required. Material changes and yearly meetings are a minimum requirement as long as other corporate formalities are complied.
